This one needs a disclaimer. We wouldn't want anyone to imagine that we were offering legal advice. This is a statement about conflict of interest that would satisfy us, as accountants:
The Organization all officers, directors, and committee members scrupulously shall avoid any conflict between their own respective personal, professional, or business interest, and the interest of the Organization, in any and all actions taken by them on behalf of the Organization in their respective capacities.
In the event that any officer, director, of committee member of the Organization shall have any direct or indirect interest in, or relationship with, any individual or organization which proposes to enter into any transaction with the Organization, including, but not limited to transactions involving:
such person shall give notice of the interest or relationship and shall thereafter refrain from discussing or voting on the particular transaction in which the person has an interest, or otherwise attempting to exert any influence on the Organization or its components to affect a decision to participate or not participate in such transaction.
